01Agreement to these terms

By accessing or using the Humans Nexus website, you agree to these Terms of Service. If you do not agree, please do not use the site. If you use our infrastructure as a partner organisation, the specific terms of that engagement are set out in a separate written agreement that prevails over these terms to the extent of any conflict.

02Who we are

Humans Nexus is a Humans Holdings company providing clinical-grade infrastructure for microsampling and monitoring, at home and at the point of care. References to "we", "us" and "our" mean the Humans Holdings operating entity that provides the relevant service.

03Definitions

• Site, the humansnexus.com website and its content.
• Infrastructure, our kits, devices, logistics, laboratory orchestration and software, provided to partners.
• Partner (a laboratory, healthcare provider, sponsor or other organisation that contracts with us).
• Agreement, the separate written contract governing a commercial engagement.

04What we provide

We provide business-to-business infrastructure that helps regulated organisations collect, transport and analyse biological samples remotely. The Site itself is informational. Access to the Infrastructure is provided only to Partners under an Agreement and is not offered directly to consumers through this Site.

05Not medical advice

Content on this Site is for general information only and is not medical advice, diagnosis or treatment, and does not create a clinician–patient relationship. Clinical decisions remain the responsibility of the qualified health professional involved. Always seek the advice of a clinician for any medical question.

06Acceptable use

You agree not to:

• use the Site unlawfully or in breach of these terms;
• attempt to gain unauthorised access to our systems or data;
• interfere with or disrupt the Site's operation; or
• copy, scrape or reuse content except as permitted below.

07Intellectual property

The Site, its content, branding and the "h∩" mark are owned by Humans Holdings or its licensors and are protected by intellectual-property laws. You may view and share the content for legitimate, non-commercial reference with attribution. All other rights are reserved.

08Regulatory status & roles

Devices and diagnostics within our Infrastructure are subject to the EU Medical Device Regulation (MDR) and In Vitro Diagnostic Regulation (IVDR). The allocation of regulatory roles and responsibilities (manufacturer, importer, distributor, controller and processor) is defined in the applicable Agreement. Nothing on this Site transfers or waives any regulatory responsibility.

09Warranties & disclaimers

The Site is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. Warranties relating to the Infrastructure are given only in the applicable Agreement. This section does not limit any rights you have under mandatory law.

10Limitation of liability

To the fullest extent permitted by law, we are not liable for indirect, incidental or consequential loss arising from your use of the Site. Nothing in these terms excludes or limits liability that cannot lawfully be excluded, including for death or personal injury caused by negligence, or for fraud. Liability arising from a commercial engagement is governed by the applicable Agreement.

11Indemnification

You agree to indemnify and hold us harmless from claims and losses arising out of your unlawful use of the Site or your breach of these terms, except to the extent caused by our own fault.

12Term & termination

These terms apply while you use the Site. We may suspend or withdraw access to the Site at any time where necessary to protect our systems, our users or our legal position. Termination of any commercial engagement is governed by the applicable Agreement.

13Governing law

These terms are governed by the laws of the jurisdiction in which the contracting Humans Holdings entity is established, and the courts of that jurisdiction have exclusive jurisdiction, without prejudice to any mandatory consumer protections that may apply to you.

14Changes to these terms

We may update these terms from time to time. The "last updated" date above shows the current version, and continued use of the Site after a change constitutes acceptance of the updated terms.
